Marathon Digital Holdings, Inc., now simply known as MARA, is rolling out a plan to offer $250 million in convertible senior notes set to mature in 2031. This move, targeting qualified institutional buyers, aims to generate funds for corporate ventures and the purchase of more bitcoin.

MARA to Purchase More Bitcoin Following Private Sale

As outlined in their announcement, MARA (Nasdaq: MARA) plans to privately offer $250 million in convertible senior notes under Rule 144A of the Securities Act of 1933. These notes, unsecured senior obligations, will reach maturity on Sept. 1, 2031, with interest payments kicking in semi-annually starting March 1, 2025.

MARA mentioned that initial purchasers have the opportunity to acquire an additional $37.5 million in notes within 13 days from the original issuance date. The publicly-listed bitcoin mining company retains the option to redeem the notes for cash on or after Sept. 6, 2028, subject to certain conditions. This private offering aligns with MARA’s “full HODL” strategy,” which they unveiled at the end of July.

The funds raised are slated for various corporate initiatives, such as acquiring more bitcoin ( BTC), fueling expansion efforts, and settling existing debts. The notes offer conversion into cash, MARA’s common stock, or a blend of both, based on the company’s choice. MARA noted that conversion options will be restricted before March 1, 2031, with greater flexibility introduced as the maturity date approaches.

In the past five days, MARA has gained 22% against the U.S. dollar, though pre-market data on Monday indicates a 2% drop in MARA shares. As of Aug. 12, 2024, the company’s mining pool, Mara Pool, operates at 20.18 exahash per second (EH/s), making it the seventh-largest pool in terms of hashrate.
